01Contract Formation & Scope
ZipZap is a self-service migration solution by Codimite PTE Ltd
(“Codimite,” “ZipZap,” “we,”
“us,” or “our”) designed to securely transfer
supported Gong data to Zoom Revenue Accelerator (ZRA), including audio/video recordings,
transcripts, and associated metadata.
These Terms of Service (“Terms”) constitute a legally binding
contract between you (“Customer,” “you,” or
“your”) and Codimite PTE Ltd governing your access to and use of the
ZipZap platform, application, and related services.
By registering an account, connecting third-party API credentials, or accessing the
Service, you confirm that:
You have read, understood, and agree to be bound by these Terms.
You possess the required legal authority to bind your organization or corporate
entity to this agreement.
Your use of ZipZap is also subject to our Privacy Policy, which explains how we collect, use,
store, and protect your information.
02Account Registration & Governance
Credential Security
You are responsible for maintaining the confidentiality of your ZipZap account login
credentials and third-party integration keys (Gong API Key/Secret and Zoom Client
ID/Secret).
Account Responsibility
You are fully responsible for all activities, data movement jobs, and API
authorizations executed under your ZipZap account.
Termination Rights
We reserve the right to suspend or terminate your access to the Service immediately
if you breach these Terms, misuse API authorizations, or attempt unauthorized
platform access.
03Acceptable Use & Platform Controls
You agree to use ZipZap strictly in compliance with applicable laws and the API
developer policies of both Gong and Zoom. You expressly agree not to:
Decompile, reverse engineer, scrape, or attempt to derive the underlying source code
or system architecture of ZipZap.
Use ZipZap to transfer content that contains computer viruses, malware, or
unauthorized third-party media.
Circumvent or attempt to bypass security authentications, rate limits, or payload
verification checks implemented on the platform.
Attempt unauthorized access to other customers’ migration accounts, logs, or
stored credentials.
04Subscriptions, Pricing & Service Execution
Self-Service Execution
ZipZap provides automated tooling to perform data movement between Gong and Zoom
Revenue Accelerator. You are solely responsible for configuring, scheduling,
initiating, and verifying your migration parameters.
Fees & Subscriptions
Access to migration capacity is subject to the pricing schedule listed on our
website or specified in your applicable order form. All fees are payable in
accordance with the billing terms presented at checkout.
Refund Policy
Except as required by law, migration processing fees are non-refundable once data
streaming or payload processing has commenced.
05Intellectual Property & Customer Migration Data
Codimite owns
ZipZap Property
ZipZap, its software architecture, workflows, web application interfaces, logos, and
proprietary features remain the exclusive intellectual property of Codimite PTE Ltd
and its licensors.
You own
Customer Data Ownership
You retain full ownership, title, and intellectual property rights in all Gong
recordings, transcripts, and metadata submitted for processing.
Limited Processing License
You grant Codimite PTE Ltd a temporary, limited, non-exclusive license to access and
process your Gong and Zoom data solely to execute the requested data transfer to
Zoom Revenue Accelerator.
Zero-Persistence Architecture
Under ZipZap, migration payloads are processed directly in transit and are not
persistently stored by ZipZap once processing is completed.
06Service Availability & Maintenance
Platform Availability
ZipZap is provided on an “AS IS” and “AS AVAILABLE” basis.
Third-Party Dependencies
ZipZap relies on third-party APIs provided by Gong and Zoom. We are not responsible
for migration delays, transfer failures, or service disruptions caused by external
third-party API rate limits, server outages, or endpoint modifications instituted by
Gong or Zoom.
07Warranties & Disclaimers
Security Measures
We use commercially reasonable security measures, including encryption at rest and
in transit, to protect your application credentials and account information. If you
identify a potential security issue while using ZipZap, please contact us promptly
so that we can investigate and address it.
Live Data Transfer Disclaimer
ZipZap operates via zero-persistence, direct streaming transfer. You are solely
responsible for ensuring adequate destination storage capacity in Zoom Revenue
Accelerator and verifying data availability in Gong prior to launching a migration
job.
General Disclaimer
To the maximum extent permitted by applicable law, Codimite PTE Ltd disclaims all
warranties, express or implied, including but not limited to implied warranties of
merchantability, fitness for a particular purpose, and non-infringement. We do not
guarantee that data migration operations will be completely error-free or
uninterrupted.
08Limitation of Liability
To the extent permitted by applicable law, ZipZap will not be liable for any indirect,
incidental, consequential, special, or punitive damages arising from or related to your
use of, or inability to use, the Service.
3months
In no event shall Codimite PTE Ltd’s aggregate liability for all claims arising
under or related to these Terms exceed the total amount paid by you to ZipZap for the
migration services in the three (3) months preceding the event giving rise to
liability.
09Indemnification
You agree to defend, indemnify, and hold harmless Codimite PTE Ltd, its officers,
directors, employees, and agents from and against any claims, liabilities, damages,
losses, or expenses (including reasonable legal fees) arising out of or in any way
connected with:
Your breach of these Terms.
Your failure to obtain all necessary rights, consents, or legal authority to extract
data from Gong or ingest data into Zoom Revenue Accelerator.
Your violation of any third-party privacy, security, or intellectual property rights.
10Dispute Resolution, Governing Law & Contact
Amendments to Terms
We may update these Terms from time to time. Material changes may be communicated by
email or through the Service. We encourage you to review these Terms periodically. Your
continued use of ZipZap after updated Terms are published constitutes your acceptance of
those changes.
Governing Law & Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the laws of
Singapore, without regard to its conflict of law principles. Any legal action or
proceeding arising under or related to these Terms shall be brought exclusively in the
courts located in Singapore.
